PE Press, November 3, 2009: Etrade Financial Corporation (NAS: ETFC)
yesterday disclosed that it withdrew its request for TARP funding
under the special government program.

A spokesman for Etrade could not be reached, however, speculation on
an imminent buyout spiked this morning. Insiders and industry watchers
noted that the removal of the application is mandatory prior to
regulatory approval of pending merger or acquisition activity. Don
Layton, who will be leaving Etrade at the end of the year is typically
reserved in his comments on future speculation relating to Etrade. His
prior comments are well heeded by the press, who recall Mr. Layton
saying "If I told you, I'd have to kill you".

As early as this week, an announcement is contemplated. Insiders
surmise that not announcing a candidate to replace the departing
Layton is a preparatory move for the sale of the company in the neat
term. Speculation increased late last week by several industry
watchers that Berkshire Hathaway, (NYSE: BRK-A) has expressed interest
in the recovering discount broker, and has excess capital to fund such
an endeavor.

While a deal is seen as imminent, valuation experts conservatively
estimate that a buyout could take place in the $2.50 to $3.00 range,
however, some analysts agree that Etrade has significant market share,
technology advantage, and brand recognition. These factors could drive
the price to the $6.00-$7.00 range, valuing the enterprise at close to
$21 Billion dollars.

The discount broker has recovered from large loan losses on bets it
made in the home loan market. The price per share has ranged from .50
to 2.90 over the last 52 weeks.
