Um, this simply could mean they want to transfer capital from the bank
to the parent company. Which would actually be a really great sign if
approved, it means OTS feels confident enough in the banks capital
position, effectively putting the nail in the coffin on any doubts
about possible BK or additional dilution.

Can't really tell anything by that filling though, not enough detail
to come to anything more than speculation.

There really isn't a deal if it hasn't met approvals - look at it that
way - no, they don't have to announce anything.  I worked on a deal
years ago - one company was swapping fiber for the acrylic biz of
another (and v.v.).  Both companies were huge.  But in order for the
deal to go through it needed FTC approval.  FTC approved the deal ....
But you know what, both companies decided not to go through with it -
it was never announced.

Regardless of that prior experience.  It's possible someone other than
AMTD made a bid on ETFC but, as they go through the process to explore
the bid and deal, some news leaked and AMTD was asked for comment on
whether they would still be interested in ETFC.

We're not going to know about a bid until it's a very firm offer.
Everything until then is "due diligence" in which both parties are
bound by the confidentiality of that process.

 I was looking at the OTS Applications for E-Trade and found a filing
I hadn't seen before. Hoping someone can shed some light on it. The
application basics are:

Type: OPERATIONS
Category: CAPITAL DISTRIBUTION(563.143)
Subcategory: IN EXCESS OF LIMITATIONS

It is dated Sept. 29 with a decision date of Dec. 18th. I'm a novice
to this type of thing so took a quick search for Capital Distribution
and In Excess of Limitations (company has capital that does not count
towards its tier 1 capital requirements) on the OTS site and the CFR
(Code of Federal Regulations) for what this may mean. I found one
document that gave three possible reasons for the filing of this
application (I'm not convinced any of these three are applicable to
this application, but???).

1. Company is planning on paying dividends (Yeah right! Don't think
that is going to happen any time soon).

2. Company is going to buy back stock (way too early for this maybe in
late 2010 or 2011. Could it be E-Trade is making the preparations for
a stock buy back? - Again, seems early for that.)

3. Cash-out merger. (Could a deal have been made on Sept. 29th and is
awaiting regulatory approval? Don't they usually announce the deal and
say it is pending regulatory approval??

A second document noted that this filing could be due to an internal
reorganization (perhaps a left-over detail when the brokerage was put
under the bank?)

Anyway, just wanted to see what others thought of this OTS filing.
Anyone have experience with this type of application before?

Exactly.  2-3 per share is undervalued.  I know it's worth much more
because of their market share alone.  I can't imagine shareholders of
etfc accepting a buyout of even $3 a share when ETFC will inevitably
just become profitable on its own.

 told you guys this stock is getting hot.  BZCN is a great company
that works with EBay.  They provide liquidation for big companies.
BZCN has just opened a store out in California called Luckies 7.
They
sell brand name Merchandise for less.  Just like ROSS and TJMAX.
BZCN
provides a great service by picking up inventory companies want to
move to make room for new merchandise.  BZCN is in their growth phase
and is about to start their holiday run.  Last year BZCN was at .12
cents.  If we can get to half of that just around 5 or 6 cents were
talking more then a 5,000 percent gain.  This stock is one to buy and
hold for atleast a few months.  They are about to expand into MIdwest
Outlet Centers.  They have gfreat software that works with EBAY and
has an amazing positive customer feed back.  They also resigned with
Ebay a short while ago.  Do some DD on BZCN before you buy but this
is
a great stock to own.  Has a ton of potential.  This is the type of
company that does well in a recession.  They help people save money
and companies save money.

Stocks go up.. stocks go down.  ETFC will probably go down again, but
I don't care.  I'm in it for long term.. always have been.  I don't
think Layton is lying and it's not up to him to decide to "sell"
etrade anyway.  It's up to the board and the shareholders (with
Citadel having a huge influence).  Etrade isn't dying.  Bankruptcy is
off the table unless there's another market catastrophe.  And most
companies would want it because.. well its something like 15% of the
market share and the longer a company waits the more profitable etrade
will become.  They are growing faster than their competitors and their
platform is better.  Everyone is free to do as they wish, but for now
I am holding on to my shares for a while.

The analyst also said they'd sell at a 20% discount to his estimated
company worth. Since they're not going BK, theres absolutely no reason
to sell at a discount. They really aren't that distressed any longer
despite what some uninformed people continue to spout. They've
survived the majority of the damage, things will only get better from
here.

Bove, a famously bearish analyst, said recently that the share price
would get to $1.72 after debt taken into account, but another
contributer reckons Bove used last years data instead the apparently
normal process of using next years projected figures.

Most people on the forum believe a minimum of $2 with $3 being more
likely.

Let's hope Monday next week has the announcement we're so eagerly
waiting for....
