In a half a year the product will be across America, pharmacies,
doctors will have it too.  The pps will go up in time but people are
selling because they wanted a quick profit!  I'm waiting for the low
today and buying more soon!  I have been in since Febuary so what
another six months to a year?  We will be rewared in a yearI

I know it's been discussed that Covidien buy out Nuvo after approval
but I think with the shares trading where they are it's more likley.
Just using some simple #'s Shares are 410M (assuming the warrants go
through)  and in the debt of roughly 20M and cash 29M + 9M for
warrants totaling 38M + 2M is assests brings up to around 40M + or -.
So if Covidien put in an offer for 50 cents a share 205M + 20M (debt)
- 40M (cash + assets) = 185M to own Nuvo. If I was Covidien I would be
all over this, I didnt count in the 15M they just got for approval and
if reach the goals 100M, they invested 115M they could own Nuvo for
70M more and would give them Pennsaid Plus and the WF10 drugs which
would be really cheap! Most people would want the share price to be
higher and so would I, at 75 cents a share it would cost them
additional 172M which is still reasonable.

These were just rough #'s but I think it's pretty sound and with out
knowing the actual agreement it's anybodys guess. I find it a little
suspect that the terms of the agreement still havent been released and
they only thing I think think of is there is a buyout clause somewhere
in it.

Anybody else thinking the same as me on this or am I out to lunch?

I'm with you.  Pennsaid does have sales history against rival drugs in
Canada, UK, Greece, etc.  I believe sales are handily beating
competitors.  If you look at Fall 2009 presentation the reason is
greater effeciacy with reduced dosage and less side effects vs oral
version.  If you were a doctor and given the clinical results which
would you prescribe to your patients?

$175 million for one product with no track record in the US? Come on
get serious. If Covidien want to buy Nuvo it would have happened
instead of signing a deal and throwing away $25 million. Your
valuation of the company is based on money that the potential buyer
has already invested which just doesn't even make sense. That type of
deal would be a great way for the board and executives a Covidien to
lose their jobs and face a whack of lawsuits. Chances of a buyout are
slim to none. The main money is in the supply chain not in the
development.

The other reason I think why we won't see a buy out is the deal
itself. Nuvo inked a pretty solid deal which on paper shows a non-
royalty commitment of $125 million. The initial $25 million (agreement
& approval bonuses) plus up to $100 million in milestone bonuses.
Covidien could have easily bought Nuvo for that amount back in June. I
seriously couldn't see a buyout even being considered until product
sales total over a billion.

So you are saying that NRI has to prove it's self in sales in US and
then when sales are over a billion, then Covidien may considering
buying NRI?  So instead of buying NRI now it wants to wait until NRI
market cap is a billion (sales/revenue increase causes pps/mc to
increase) before buyout?  In other words pay more for it later...makes
perfect sense!

Adam I see some of your points and they make sense but...No track
record in the US your right but lots of small pharma's get bought by
bigger ones after approvals. Fact is neither of us know what the deal
is right now there is always alot of variables in them not quite as
cut and dry and you seem to make it so the whole lawsuit stuff and
board members being fired is a bit of a stretch and I wouldnt expect
them to do a bad deal would have to make sense for both parties. You
called the deal solid?  how can you call it solid when you dont even
know the #'s? Only thing really said is 100M milstone and in line with
the industry. In line with the industry is a broad range it's not just
a set % or anything like that.

All I;m saying if they had some good clauses in the deal it's possible
and would make sense given the forecast of future sales for the price

God points Medlow. They could of inked out those nice milestone
payments but, the royalty may be crap. Going on the past history of
releasing news I expect we will find out sometime in six months!

Personally, I think a Covidien buyout is not going to happen anytime
soon - if at all.    The 3 biggest movers to affect the future
shareprice of NRI are earnings earnings earnings.   Once they
penetrate the US market and the coffers start filling with cash, then
we can perhaps bitch and complain about the share price, but until
Pennsaid is on shelves in the US, I don't realistically expect any
major moves to the upside in the near future, give or take a dime.

How quickly can they get it on the shelves?  Already being
manufactured (check) so just need to ramp up production, labeling and
instructions (check) - probably already sitting on someones laptop
with version a (with ammendment) vs version b (without ammendment) for
the last 3 months.  I'm sure Covidien marketing machine hasn't been
sitting on their arses for the past 3 months wondering if approval is
going to happen before getting the ball rolling.

Rudee I'm more bitching at dumbass healthcare stock traders who buy
HEB at $4 (it's still trading above a dollar now, 5 months after their
supposed decision date) and then sell Nuvo at pre-approval prices
AFTER it receives the biggest news in their company's history.

I cant see any big moves up until it's announced it's on the shelves
then after that earnings, I think it's release is in Q1.

The whole deal it's self kinda confuses me with the milestone + bonuse
being so big it would have made more sense just to buy em instead of
giving them so much cash they could just keep it all to themselves and
pick up all the R&D for the other drugs.

Hey Adam you were on the Opti board alot too and really didnt think
there was going to be a buyout what's your thoughts since the last
PR?

Just curious, forgive me if this is a stupid question. It seems that
all the math here is based solely on what they are able to sell in the
states. Aren't they already selling product elsewhere? Do they have
any other product out? Aren't they currently working with a German
company on future development? Isn't there trans dermal delivery
system unique to what is out there and worth quite a bit seeing as it
can be used with other products? There seems to be a lot more here
than just how much Pennsaid they can sell here in the states.  If I'm
wrong, tell me but please don't throw insults around.  Thoughts?
